1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you" or "User") and A4 Web Design ("we," "us," "our," or "Company"), concerning your access to and use of the website located at a4webdesign.com and all related sites, applications, and services that link to or reference these Terms (collectively, the "Site").

YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS AND AGREE TO BE BOUND BY ALL THE PROVISIONS OF THESE TERMS. If you do not agree with our Terms, then please do not access or use the Site.

2. Intellectual Property Rights

Unless otherwise indicated, the Site is our proprietary property and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Site (collectively, the "Content") and the trademarks, service marks, and logos contained therein (the "Marks") are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws and various other intellectual property rights and unfair competition laws.

Any Contribution you transmit to the Site will be treated as non-confidential and non-proprietary. When you create or make available any Contributions, you thereby represent and warrant that:

• You own or have the necessary rights to the Contributions you post

7. Disclaimer of Warranties

THE SITE IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. WE MAKE NO WARRANTIES, EXPRESSED OR IMPLIED, REGARDING THE SITE. TO THE FULLEST EXTENT PERMISSIBLE PURSUANT TO APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

8. Limitation of Liability

IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9. Indemnification

10. Termination

We may terminate or suspend your account and access to the Site immediately, without prior notice or liability, for any reason whatsoever, including if you breach the Terms. Upon termination of your account, your right to use the Site will immediately cease.

11. Governing Law

These Terms and your use of the Site are governed by and construed in accordance with the laws of the Province of Alberta, Canada, and you irrevocably submit to the exclusive jurisdiction of the courts in that location.
